These Terms of Service ("Terms") govern your access to and use of the AATC Marketplace website, mobile application, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Definitions

• "AATC Marketplace" refers to Anog Agro Trading Company Limited, its subsidiaries, affiliates, and related entities.
• "Services" refers to the AATC Marketplace website, mobile application, and all services provided therein.
• "User" refers to any individual or entity that accesses or uses our Services.
• "Farmer" refers to a User who registers to sell agricultural products on our platform.
• "Buyer" refers to a User who registers to purchase agricultural products on our platform.
• "Content" refers to all information, text, images, data, links, software, or other material that is posted, uploaded, or otherwise made available through our Services.

2. Account Registration

To access certain features of our Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

3. User Responsibilities

3.1 Farmer Responsibilities

As a Farmer, you agree to:

• Provide accurate information about your farm, products, and farming practices
• List only products that you have the legal right to sell
• Accurately describe your products, including quality, quantity, and pricing
• Fulfill orders in a timely manner as specified in your listings
• Comply with all applicable laws and regulations regarding food safety, agricultural practices, and commerce
• Maintain appropriate licenses, permits, and certifications as required by law
• Pay all applicable fees and taxes associated with your sales

3.2 Buyer Responsibilities

As a Buyer, you agree to:

• Provide accurate information for order processing and delivery
• Pay for products and services as agreed
• Inspect products upon delivery and report any issues promptly
• Communicate respectfully with Farmers and AATC Marketplace staff
• Comply with all applicable laws and regulations

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Infringing on the intellectual property rights of others
• Posting false, misleading, or deceptive content
• Engaging in fraudulent activities or misrepresenting yourself or your products
• Interfering with or disrupting the Services or servers
• Attempting to gain unauthorized access to any part of the Services
• Using the Services for any illegal or unauthorized purpose
• Harassing, threatening, or intimidating other Users
• Collecting or harvesting user data without permission
• Using automated methods to access or use the Services without our permission

5. Fees and Payments

AATC Marketplace charges fees for certain services as described in our Pricing Information. By using our Services, you agree to pay all applicable fees. We reserve the right to change our fees at any time with notice to Users.

For Farmers, transaction fees are calculated as a percentage of the total order value and are deducted from payments before disbursement. For Buyers, payment processing fees may apply depending on the payment method chosen.

All payments are processed through secure third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method and agree to the terms of the payment processor.

6. Intellectual Property

The Services and all content and materials included on or within the Services, including but not limited to text, graphics, logos, images, and software, are the property of AATC Marketplace or its licensors and are protected by copyright, trademark, and other intellectual property laws.

By posting Content on our Services, you grant AATC Marketplace a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content for the purpose of providing and promoting our Services.

7. Limitation of Liability

To the maximum extent permitted by law, AATC Marketplace and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or your use of the Services.

In no event shall our total liability to you for all claims exceed the amount paid by you to AATC Marketplace during the twelve (12) months prior to the action giving rise to the liability.

8. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in accordance with the laws of Nigeria.

If mediation is unsuccessful, the dispute shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The decision of the arbitrator shall be final and binding on all parties.

9. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and changing the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
